Terms of service and sale
Version: 2026-10-draft
The French version of these terms is the reference version. This English version is a translation provided for convenience.
These terms apply to Quorumind Cloud, the hosted version of Quorumind available at app.quorumind.com, and to the quorumind.com website. They say what the service does, what it costs, and what each party commits to. In this document, "Quorumind", "we", "us" and "our" mean the publisher named in section 1; "you" means the person using the service.
1. Who publishes the service (legal notice)
- Publisher: QUORUMIND.
- Address: 23 rue des Frères Bonie, 33000 Bordeaux, France.
- SIRET: 821 041 431 00023 (APE code 6201Z).
- VAT: EU VAT number FR07821041431; VAT not applicable, article 293 B of the French General Tax Code (« TVA non applicable, art. 293 B du CGI »).
- Contact: hello@quorumind.com.
- Director of publication: QUORUMIND.
- Hosting provider: OVH SAS, 2 rue Kellermann, 59100 Roubaix, France, phone +33 9 72 10 10 07.
2. Purpose and acceptance
- These terms govern the use of the service and the purchase of credits or of a subscription.
- You accept them by ticking the box shown when you create your account. We record the version accepted, the language and the date.
- They are completed by the privacy policy, the cookie policy, the AI transparency notice and, for professional customers, the data processing agreement.
- The service is for adults with the legal capacity to enter into a contract, acting either for personal purposes (consumers) or for professional purposes.
- The self-hosted version of Quorumind, free and open source, is not covered by these terms: its own licence applies (section 15).
3. What the service does, and what it does not do
3.1 What it does
Quorumind helps you prepare a decision, most often about a technical project:
- an AI model interviews you about your needs (goals, budget, constraints, team);
- it writes a requirements sheet, which you correct and validate;
- several AI models each propose a solution, criticise each other and revise their proposal; the debate may pause to ask you a question;
- an arbiter model checks every option against your needs and gives a verdict;
- you get a decision report, which you can export, rewrite for another reader or share.
3.2 What it does not do
- The report is produced by AI models. It is a well-argued second opinion, not professional advice (legal, financial, accounting, engineering or other) and not a guarantee of any result.
- The costs, durations and figures in the report are estimates, to be confirmed with quotes. Models can be wrong, even about a claim marked "verified" (see the AI transparency notice). The sources cited in the report are third-party web pages: they may be wrong or out of date. A claim is marked "verified" only when it cites a source, which does not guarantee it is accurate. The reference hosting prices (OVHcloud, Scaleway, AWS, Azure, Google Cloud) are dated public prices, given for information and without warranty.
- Compliance checks: when you choose a compliance template (health data, public sector, finance, personal data, online commerce), the report says for each option whether it meets each requirement. These checks are produced by AI models: they are a list of points to verify, not legal advice nor a guarantee of compliance. Have them confirmed by a professional before you commit. Audit of a quote or technical document: the opinion given on a provider's document is a second opinion produced by AI models, not legal, financial or contractual advice. The market price range it gives is an estimate. You are responsible for the document you submit and for how you use the opinion.
- Nobody at Quorumind reviews reports before you receive them.
- You remain solely responsible for your decisions and for how you use the report.
- Decision register: an approval recorded in Quorumind is a decision aid and an internal record, not a contractual signature.
4. Your account
- You sign in with a link sent by e-mail (valid for 15 minutes, usable once) or, when these options are offered, with Google or GitHub. There is no password. Only a verified e-mail address can open an account.
- You give accurate information and you protect access to your mailbox: whoever controls it can sign in to your account.
- You are responsible for what is done from your account. If you think someone else is using it, use "Sign out everywhere" and write to us.
- API tokens: you can create personal tokens to use the debate API, for example from a coding agent. A token acts on your behalf in one workspace, for debates only (never for your account or billing). It is shown only once: keep it secret, and revoke it from the Account page if it may have been exposed. What is done with your tokens is your responsibility, like the rest of your account.
5. Workspaces
- A workspace groups members, a credit balance and, where applicable, a subscription. A first workspace is created with your account; you can create more.
- Each member has a role:
- owner: all rights, including managing roles and other owners;
- admin: buying credits, subscribing to and managing the plan, inviting and removing members;
- member: running debates paid for by the workspace, reading and building on the workspace's shared debates. A workspace always has at least one owner.
- Invitations are sent by e-mail and are valid for 7 days. Only the holder of the invited address can accept them.
- A debate is started in the current workspace. Every member of the workspace sees it (title, content, author) and can start a new session from it, unless it is marked private: it is then visible to its author only. Only the author, admins and owners can change, share or delete it. When a member leaves the workspace, their shared debates stay there. The workspace, that is the customer, is responsible for the content shared in it.
- Organisation profile: a workspace can describe what the organisation can deliver (technologies, hosting rules, roles and day rates, capacity). Every member reads it; only owners and admins change it. The customer is responsible for its content. Each debate keeps a copy of the profile in force when it started.
- Credits belong to the workspace, not to a member. They stay in the workspace when a member leaves.
- If you buy on behalf of a company or organisation, you confirm that you have the authority to bind it.
6. Acceptable use
You agree not to:
- use the service for an illegal activity, or to produce content that is unlawful, hateful, defamatory or infringes the rights of others;
- put in documents or information you have no right to use (a third party's trade secrets, protected content, personal data without a legal basis);
- put in sensitive data (health, opinions, other people's banking data, etc.) unless truly necessary and under your responsibility;
- use reports to make decisions that have legal or similarly significant effects on people (hiring, credit, insurance, scoring, etc.);
- try to get around the cost cap, billing, rate limits or security protections, or to access other users' data;
- resell or provide access to the service without our written consent;
- break the usage policies of the model providers, to whom your content is sent: those of Anthropic, OpenAI and Google.
If you seriously breach these rules, we may suspend your account, which signs you out of all your devices at once. We tell you by e-mail, with the reason, unless the law forbids it. For a less serious breach, we first ask you to stop. You can contest a suspension by writing to hello@quorumind.com.
7. Offers and prices
- All prices are in euros, including all taxes. VAT not applicable, article 293 B of the French General Tax Code: the amount shown is the amount you pay.
- No credits are given at sign-up: every debate uses resources paid to the model providers.
- Price of a debate: a fixed price, set by its tier, shown before you start:
| Tier | When | Price |
|---|---|---|
| Express | Express mode | €3 |
| Standard | Compare, Challenge and Audit modes, quick or standard depth | €7 |
| Deep | Deep depth | €15 |
- When the price is due: once per session, when the debate itself starts (first proposal, restatement of your solution in Challenge mode, or restatement of the document under review in Audit mode). The interview before it is not charged, within an internal limit on model usage: a session abandoned before its debate costs nothing. If an interview reaches that limit, the debate's price is charged before the next question. A workspace can open at most 10 sessions in 24 hours without starting their debate. To start a session, your workspace must be able to pay its tier (enough credits, or an included debate left).
- Usage limit: each tier has an internal limit on model usage. A debate that reaches it stops; you never pay more than its tier's price. If a debate stops this way without a report, write to hello@quorumind.com and we refund it.
- Resuming: resuming an interrupted session, or rewriting its report for another reader, costs nothing more. A refunded debate cannot continue: start it again as a new debate, paid again.
- Credit packs: €10, €25, €50 or €100. A €25 pack gives €25 of credits, shared by the workspace.
- Subscriptions, per workspace and per month:
| Plan | Monthly price | Seats | Debates included per month |
|---|---|---|---|
| Solo | €49 | 1 | 6 |
| Team | €199 | 5 | 25 |
| Agency | €499 | Unlimited | 60 |
- The Billing page keeps the history of purchases and debates.
- Updating the recommendation (revision): €1. It is paid with credits, never with a subscription's included debates. Its price is set aside from the credits when you ask for it, then charged when the revision starts; if the revision has not started within 10 minutes, that amount is available again. It is refunded automatically if the revision fails before producing a recommendation. Each new request is a new revision. A what-if scenario (for example "two more developers" or "budget cut by 30%") is a revision like any other: same price, same refund rule.
- Client proposal: an agency that sends its client a proposal prepared with Quorumind reviews it, edits it if needed and sends it on its own responsibility; the footer says "Prepared with Quorumind".
8. Prepaid credits
- Purchase: an owner or admin of the workspace buys a pack on the Billing page. Payment takes place on a Stripe page (section 10). Credits are added to the balance as soon as Stripe confirms the payment.
- Duration: credits do not expire.
- Use: the price of a debate is taken from the balance when the debate starts (section 7.4). If the balance is not enough, the debate does not start and the app offers to buy credits.
- Never above the price: a debate is never charged more than its tier's price.
- If a debate stops on an incident, you can resume it where it stopped, without a new charge.
- Corrections: we may correct a balance, for example after an incident. Each correction is recorded with its reason.
- Credits are not money: they bear no interest, cannot be exchanged and cannot be transferred out of the workspace.
- Refund of unused credits: when you close your account or your workspace, the balance of unused credits is refunded on request, to the original payment method. Ask hello@quorumind.com before you delete your account.
- Outside this case, we may refund all or part of a purchase, for example after an incident. The credits matching the refunded amount are then removed from the balance.
9. Solo, Team and Agency subscriptions
- A subscription is taken out for a workspace. It starts on payment and renews automatically every month, on the same date, until it is cancelled.
- Included debates: according to the plan (section 7.8), per monthly period. An included debate covers a debate of any tier; a Deep debate counts as two. Unused included debates do not carry over to the next period.
- Beyond them, debates are paid with the workspace's credits, at their tier's price (section 8).
- Seats: every member of the workspace takes a seat, whatever their role, and so does every pending invitation. A workspace without a subscription has one seat. When every seat is taken, free one or change plan to invite someone.
- Changing plan: cancel the current subscription, then subscribe to the new plan when it ends. There is no immediate switch and no proration.
- Cancellation: an owner or admin cancels at any time from the Stripe customer portal (the "Invoices and payment methods" link on the Billing page). Cancellation takes effect at the end of the current period; the subscription stays usable until then. The period started is not refunded.
- Payment failure: Stripe retries the payment. While the period is unpaid, included debates are no longer available and debates are paid with credits.
- Price changes: we notify you by e-mail at least 30 days in advance. The new price applies from the next period. You may cancel before.
10. Payment and invoices
- Payments are processed by Stripe Payments Europe Ltd. You pay on a Stripe page: we neither receive nor store your card details.
- The price is paid in full when you order. The order goes like this: choice of the pack or plan, box asking for immediate access and waiving the right of withdrawal (section 11), Stripe's payment page, confirmation of the payment.
- An invoice is issued for each payment, with the statement « TVA non applicable, art. 293 B du CGI ». It is sent by e-mail and stays available in the customer portal.
- A professional customer can enter its company details (name, address) during payment so they appear on the invoice.
11. Right of withdrawal (consumers)
- A consumer normally has 14 days to withdraw from a contract made at a distance (article L221-18 of the French Consumer Code).
- Exception: this right cannot be exercised for the supply of digital content not on a physical medium when performance has begun with your prior express consent and your express waiver of this right (article L221-28, 13°, of the French Consumer Code).
- Credits and subscriptions can be used immediately after payment. That is why, before paying, you tick a box by which you ask for immediate access to the service and expressly waive your right of withdrawal. Without this box, the purchase is not possible. We record the date and time of this choice with the payment, and the order confirmation sent by e-mail repeats it.
- As a result, you cannot withdraw once the payment is confirmed. Unused credits remain refundable under section 8.8.
12. Professional customers
- If you act for the purposes of your business, you have no right of withdrawal, unless you employ five people or fewer and the purchase is outside the scope of your main activity (article L221-3 of the French Consumer Code).
- These terms prevail over your own purchasing terms.
- If you put personal data of other people (customers, employees, partners) into the service, the data processing agreement applies.
- The liability limit of section 14.3 applies.
13. Legal guarantee of conformity (consumers)
As a consumer, you benefit from the legal guarantee of conformity for digital content and services (articles L224-25-12 and following of the French Consumer Code). If the service does not conform to the contract, you can ask for it to be brought into conformity and, failing that, for a price reduction or the termination of the contract. Write to hello@quorumind.com.
14. Availability and liability
14.1 Availability
- We do our best to keep the service available at all times, without guaranteeing any level of availability. It may be interrupted for maintenance, in case of an incident, or if a model provider is unavailable.
- The service evolves: we may add, change or remove features. If we remove an essential feature of a paid offer, we tell you and you may terminate, with a refund of unused credits.
14.2 Quorumind's liability
- We have an obligation of means: to provide the service with care, in line with these terms.
- We are not liable for the decisions you make based on a report (section 3.2), nor for force majeure events or failures of third parties we cannot control (networks, model providers).
- For a consumer, we are liable for damage caused by our failures as provided by law. Nothing in these terms limits our liability for bodily injury, gross negligence or wilful misconduct, nor the rights the law gives you.
14.3 Limit for professional customers
For a professional customer, and except for gross negligence or wilful misconduct, our liability is limited to direct damage and, in total, to the amounts paid by its workspace during the 12 months before the event giving rise to liability.
14.4 Your liability
You are responsible for the content you put into the service (description, answers, documents) and for having the rights needed to use it.
15. Intellectual property
- The open source core of Quorumind (debate engine, provider connectors, base interface) is published under the GNU Affero General Public License v3 (AGPL v3); its source code is available at github.com/quorumind/quorumind.
- The hosted layer (accounts, workspaces, billing, administration), the Quorumind brand and its logo belong to the publisher.
- Your content and your reports belong to you. We claim no rights over them. We use them only to provide the service: sending them to the models, storing, displaying, exporting, and sharing them if you ask. We do not use them to train models.
- AI-generated text is not always protected by copyright, and a model may produce similar content for someone else. To the extent we hold any rights in a report produced for you, we assign them to you.
- Nobody at Quorumind reads the content of your debates, except: if you share it with a link (anyone with the link can read it) or in the public gallery (everyone can read it); if you allow us to, for example to look into a reported error; or if the law requires it.
- By publishing a debate in the public gallery, you allow us, free of charge and non-exclusively, to display it on the service for as long as it is listed. You can stop sharing at any time: the link stops working at once.
16. Personal data
We process your data as explained in the privacy policy. For personal data of other people that you put into the service for professional purposes, the data processing agreement applies.
17. Term and termination
- The contract is made for an indefinite period, starting when the account is created.
- By you: you can close your account at any time from the Account page ("Delete my account", typing your e-mail address). Before that:
- export your data if you want to keep it ("Export my data" button);
- ask for the refund of unused credits (section 8.8);
- if you are the only owner of a workspace that has other members, make someone else owner.
- Effects of closing: your debates are deleted at once and their share links stop working; your e-mail address and name are erased; workspaces where you were the only member are closed, and their subscriptions cancelled at once, without a refund of the current period (the Account page lists them before deletion). Accounting records (payments, invoices, credit movements) are kept in pseudonymised form, as the law requires.
- By us: we may terminate the contract for a serious breach (section 6), after asking you to remedy it where possible, or without reason with 30 days' notice. In that case, we refund unused credits and the unused part of the current subscription period.
18. Changes to these terms
- We may change these terms, in particular to follow changes in the service or the law.
- For a significant change, we tell you by e-mail and in the app at least 30 days before it takes effect, unless the law requires a shorter period.
- The app asks you to accept the new version before you go on. If you refuse it, you can close your account and get unused credits refunded.
19. Governing law and disputes
- These terms are governed by French law. If you are a consumer living in another country of the European Union, you keep the protection of the mandatory rules of your country.
- Complaints: first write to hello@quorumind.com. We answer within 30 days.
- Consumer mediation: if your written complaint has not been resolved, you can use the following consumer mediator free of charge: [MÉDIATEUR DE LA CONSOMMATION] (name, website, postal address). [To be completed: a trader selling to consumers must designate a consumer mediator and give its details (articles L612-1 and L616-1 of the French Consumer Code).]
- Online dispute resolution: the European online dispute resolution platform closed on 20 July 2025. For a dispute with a trader in another EU country, the European Consumer Centre France can help (europe-consommateurs.eu).
- Failing agreement, the dispute goes to the competent courts. Between professionals, the courts of Bordeaux have exclusive jurisdiction.
20. Language
These terms are written in French. The French version is the reference version; the English version is a translation provided for convenience.
